How to read this handbook
This file is the common text. Until now the work existed in two separate packages — an investor roadmap and a counsel package — written for different readers and therefore carrying different material. This handbook merges them into one narrative so that every party reads the same sentences.
Every factual claim carries a label, so you can see at a glance what is established and what is still an assumption:
verified source public filing or primary source secondary press or aggregator, not confirmed management info supplied by company management VMA assumption planning figure working decision taken in a working session
What is deliberately not in this file. Commercial terms are handled bilaterally, not in a shared document. Valuation methods and premiums, price ranges, capital amounts, fee and compensation models, broker mechanics and investor-specific asks are therefore absent here by design. Nothing in this handbook is an offer, a price, or a binding commitment.
Confidentiality. Ohanyan's Inc. is an off-market company that has not been listed for sale. Its name appears in this file because it is the platform's first brand. Readers outside the immediate working group should receive this handbook under an NDA.
The thesis: the 5th Table
Taco, pizza, noodle and burger each have a U.S. category leader — a company that owns the standard, the name and the shelf. Levantine–Mediterranean food — Turkish, Armenian, Greek, Lebanese and the kitchens around them — is a large and growing category in the United States, yet no single company owns it. It is big and it is ownerless.
We call that empty seat the 5th Table, and this platform exists to take it. The approach is not invention. The identity is explicit: reform what exists, and channel what is missing. The kitchens, the recipes, the diaspora demand and the manufacturing capacity are already in the United States; what is missing is a standard, a category owner and a distribution channel.
That single line is the whole platform working decision. Each party does what it is already best at; none is asked to become something it is not.
The carrier columns
The handbook stands on six columns. Everything else in this file hangs from one of them.
VMA reports
The analytical spine. Ten months of market, regulatory and facility work that turns opinion into an evidenced position.
VMG execution
U.S. market penetration, integration, growth and operation — buying into businesses that have already solved access, not building from zero.
Branding — 5th Table
Category creation and brand management: the seal, the umbrella and the heritage label, each with its own job.
Levantine Council
The independent body that sets and certifies the standard, so the category has an authority that is not the operator.
Narin family vision
The sponsor's orientation: merchants by origin, entrepreneurs and investors by track record.
ALA — the architect
A Level Alliances designs the construct, distributes the roles and runs the game. It enables; it does not perform.
Column I — VMA reports: the evidentiary spine
Value Masters Academy, the advisory and education arm of Value Masters Group, has produced the analytical base for this platform between January and October 2026. The handbook's claims rest on that body of work; the underlying documents are held internally and are available to each party on request, under access control.
| Workstream | What exists today | Status |
|---|---|---|
| U.S. market entry (MSY) | U.S. market report; Levantine Turkish Kitchen handbook in English; MOU and first Operating Agreement drafts; decision to form ABC Ventures Corp. as a Delaware corporation | Drafts ready; formation pending working decision |
| Ā Levantine | Two-layer name architecture; four production lines (meat, dairy, meze, bakery); channel vision — Meze Bars, retail, DTC; Action & Implementation Plan | Strategy set; first brand in progress |
| 5th Table | Category seal and NGO concept; Levantine Council manifesto draft; marketing and growth strategy | Concept; NGO not yet formed |
| Facility work | Five-day California road-show plan covering eight facilities across meat, dairy and meze lines; a full case study on the Riverside site; the Azusa, CA plant identified as pilot benchmark | Road show planned for late October 2026; Azusa terms open |
| Regulatory | USDA/FSIS finding: U.S. meat import barriers make domestic, inspected production the viable route for Turkish-style meat products | Established; drives the acquisition logic |
| Adjacent ventures | Panayır Global phygital plan; Cultural Gifting brand work; Fine Goods From Anatolia catalogue; airport-lounge channel concept | Separate ventures; used here as precedent and channel options |
Column II — Penetration, integration, growth, execution
The acquisition rule
The platform does not buy empty buildings and fit them out. It acquires or combines with operating food businesses that have already solved U.S. market access — with or without current cash flow — enters them with its own means, gives them what the plan calls a kiss of life, and integrates them working decision. A cold-storage site with no business inside it fails this test, however attractive the real estate.
The regulatory reality makes this more than a preference. U.S. import barriers on meat products mean Turkish-style charcuterie cannot simply be shipped in; an inspected domestic producer is the lawful route to the shelf.
Four production lines
Meat
Sucuk, bastırma and seasoned mixes; the inspected base of the platform.
Dairy
Yoghurt, cheese, milk desserts and ice cream.
Meze
Hummus and the Mediterranean vegetable range — cook, chill, pack.
Bakery
Simit, poğaça, pide, lahmacun and baked goods.
The channel — the most critical point of the plan
Production without a channel is a commodity business. The platform's growth target is to own its own cold chain: fresh meze produced in a central kitchen, carried in refrigerated trucks, and sold at in-store Meze Bars inside national grocery chains — the model supermarket sushi bars proved working decision. Alongside it: semi-prepared meze and meal packs for the specialty-grocer channel, national retail listings, and direct-to-consumer.
Phasing
Formation
Entity, governance, counsel, first brand decision.
Anchor
First inspected production base live; first SKUs; pilot facility.
Proof of channels
Meze Bar roll-out, first national listing, DTC, bakery line.
Scale
Second plant, national distribution, seal licensing, fast-casual format.
Each phase opens only when the previous one passes its gates. This is the method used in the Panayır precedent (Section 12): no single large raise, staged commitment instead.
Column III — Branding and brand management
The architecture is deliberately two-layered, so that the category and the company are never the same thing working decision.
5th Table
The category name and the certification seal. Owned and awarded by an independent body, not by the operator. It can be carried by producers who are not part of the platform — that is the point.
Ā Levantine
The umbrella company that operates commercially: production lines, channels, formats. Built deliberately for Gen Z and the coastal wellness consumer.
Ohanyan's
The first heritage brand on the shelf. A real family name with four decades behind it, carried forward rather than replaced.
Brand management principles
- Heritage stays in front. The founding family's story leads the brand narrative; the platform's corporate layer stays behind it.
- The seal is not a logo. It certifies a standard — authenticity and health claims the Council defines — and can be withdrawn.
- Category before company. Growing the 5th Table grows the platform's position even when a competitor benefits; a category leader is measured by the size of the table it set.
- The ambition is lexical. The names that win categories become the word people use for the thing itself.
Column IV — The Levantine Council
A category that certifies itself is a marketing claim. A category certified by an independent body is an institution. The Levantine Council is planned as a non-governmental organisation founded by academics and industry experts, independent of the operating company, with one job: define the standard of Levantine–Mediterranean food in the United States and authenticate what meets it VMA assumption — not yet formed.
Separation of powers. The Council sets and certifies the standard. Ā Levantine operates commercially under it, as any other producer may. The credibility of the seal depends on that separation being real and visible — including the Council's freedom to certify producers outside the platform and to withdraw certification from one inside it.
This is what the plan calls segment authentication: the platform's long-term defensibility comes less from any single factory than from being the house that wrote the standard the segment is measured against.
Ohanyan's — the first heritage brand
Ohanyan's Inc. is a family manufacturer in Fresno, California, founded in 1981 management info. It is USDA-inspected and halal-certified, with roughly four decades of production history, an established name among its distributors, and a meat-processing licence with meaningful capacity. The controlling families are Hancer and Garabetyan.
It was not found on a listing. It came out of VMG's first-phase U.S. market work as an off-market company, selected from a graded set of alternatives, and designated as the platform's first brand.
What each side brings
Where it stands
The first family meeting is complete and the relationship is in its trust-building phase. The form of the transaction — purchase or strategic combination — remains deliberately open, and the drafted documents are written to accommodate either working decision. Whether the families take an ongoing interest in the platform is theirs to decide after the family meetings. Istanbul and Laguna Beach meetings between the families are the next step.
A note on sequence. Nothing in this handbook asks the families for a decision on terms. Terms follow fit; this file exists so that everyone is reading the same description of the business before anyone discusses the shape of a deal.
ABC Ventures and the structure
ABC Ventures Corp. (Atelier by Creators Ventures Corp.) is the joint venture vehicle, to be formed as a Delaware corporation. The corporate form was chosen deliberately over an LLC so that the IRC §351 control threshold works as intended working decision.
| Entity | Holding | Note |
|---|---|---|
| ABC Ventures Corp. Delaware C-Corp | MSY 80% · A Level Alliances (VMG) 20% | MSY invests through his Türkiye-resident company; ALA's 20% is in-kind services from inception through operations, exit or listing |
| A Levantine LLC operating umbrella | Mirrors 80 / 20 | If the H&G families and/or an institutional investor join, existing holders dilute pro rata |
| Governance | MSY board majority at formation | Officers appointed and removed by joint decision; a deadlock right is reserved to the VMG member |
The production partner
Mustafa Serhat Yüce is a food engineer and a co-founder of MADO, with an operating track record in industrial food production and franchise systems management info. His team carries the production side of the chain: scale-up, line design, quality systems and the know-how transfer into the U.S. facilities.
Column VI — ALA: the architect who distributes the roles
A Level Alliances LLC, the Value Masters Group entity behind this construct, defines itself by a distinction it uses often: it is the müsebbib, not the müellif — the enabler, not the doer. We don't do it ourselves; we make it happen. ALA finds the best in each field, brings them under one roof, assigns the roles and runs the game. It does not take the operator's chair.
That is why this handbook exists as one file rather than five pitches: a construct only works if every player can see the whole board.
The pipeline logic
The strategy is deliberately independent of any single target. Operating plants are sourced continuously; qualified buyers and tenants are placed against them back-to-back, so that no facility is pursued without a committed counterparty and no counterparty waits without a facility. Ohanyan's is the seed project of that pipeline, not its only outcome. The current pilot facility is a food plant in Azusa, California; an earlier Riverside site was evaluated in full and set aside on terms.
Column V — The Narin family
The Narin family: merchants by origin, entrepreneurs and investors by track record.
For this platform, that means a buyer-side network in Türkiye able to commit capital and know-how to U.S. facilities, and the discipline to structure, fund and sequence a venture. The U.S. venture itself is at start-up stage.
The Third Channel — and why this venture is its back garden
This platform is not a standalone transaction. It is the proving ground — the back garden — of A Level Alliances' Third Channel plan: the construct in which the food venture is built, tested and grown becomes the repeatable method for everything that follows.
The Third Channel plan has not yet been written down in a form this handbook can carry accurately. This section is reserved for its definition in ALA's own words: what the first and second channels are, what the Third Channel is, and precisely which parts of this food venture serve as its proving ground.
Nothing has been drafted here on assumption.
Precedent and benchmarks
The Panayır precedent
The method applied here is not theoretical. The Panayır work established the pattern this platform follows: a physical-plus-digital retail construct, built in stages, each stage funded only after the previous one cleared its gates, with the channel owned rather than rented. The funding discipline in Section 04 comes directly from it.
Why now
- Mediterranean fast-casual has become a public-market investment category in the United States VMA reading.
- Pret A Manger announced a joint venture to triple its U.S. business verified source — evidence that the format and the capital are both moving toward this market.
- DO & CO is reported to be planning significant U.S. growth secondary / unverified.
- Inspected, licensed U.S. production capacity in these categories is available to a buyer with the know-how to restart and run it.
Both benchmarks are studied in full in the underlying VMA work: what each does with standard-setting, central production and channel ownership, and where each is vulnerable to a category-owning entrant.
Projects on the board
Two further projects sit in development alongside the core platform. They are concept-stage and are recorded here so that the readers of this handbook see the full board; the detailed treatment of each is held in the VMA file set.
Phygital Wellness Kitchen
A physical-plus-digital kitchen format carrying the platform's wellness positioning into a consumer-facing unit. Detailed treatment in the VMA file set.
Mediterranean Chef
A chef-led extension of the category programme. Detailed treatment in the VMA file set.
Where each reader comes in
One file, five readers. What this handbook asks of each is different — and none of it is a commercial commitment.
Method, status and open items
What remains open
- Ohanyan's financial information — all valuation work stays parametric and bilateral until it arrives.
- The H&G families' decision on whether to take an ongoing interest, after the family meetings.
- Pilot facility terms and the inspection re-activation timeline.
- Formation of ABC Ventures Corp. and the entity-name update in the existing drafts, which still carry the earlier LLC form.
- The Levantine Council — concept agreed, body not yet formed.
- Section 11, the Third Channel — definition pending.
Basis of preparation
This handbook consolidates work produced by Value Masters Academy and A Level Alliances between January and October 2026, including the U.S. market report, the regulatory findings, the facility studies, the brand and category architecture, and the governance drafts. Figures labelled as assumptions or secondary-source estimates are illustrative and must be verified in due diligence. Internal documents referenced here are held under access control and shared party by party.
Issued editions
The working material behind this handbook is published on the Value Masters sites, and each section of each edition links straight to its source page. What the editions below decide is not what exists, but what is assembled for whom: three compilations, each put together for the readers it was written for. An access key issued by Value Masters Group opens one.
Corporatization Roadmap & Investment Plan
The VMA file set in ten sections: roadmap, brand and channel architecture, the Panayır precedent, the Pret A Manger and DO & CO benchmarks, the two projects, the investment plan and the start-up budget.
Plan B — Pipeline & Venture Ideology
The partner package: the action and implementation plan — structure, product lines, phases and targets — together with the venture ideology, the participant profiles and the terms of cooperation.
Counsel Package
The brief for counsel with its six requests, and the Operating Agreement drafted for the Ohanyan's case. The original bilingual Operating Agreement is included with this file set as a PDF.
On the keys. Value Masters Group holds all three access keys and issues them one by one. A key opens its own edition and no other, and each edition is encrypted with AES-256-GCM, so an edition that has not been issued to you stays closed even if this file reaches you. The keys govern the compilation, not the underlying material: that material is published and linked from inside each edition.
